Trucking Solutions Installation Agreement
This Installation Agreement (the “Agreement”) is made and entered into as of __________________ (the “Effective Date”), by and between TRUCKING SOLUTIONS X LLC, with its principal place of business at _36 Edgerton St #2a Smithfield, NC 27577_ (“Company”), and _______________________________________, With USDOT# ___________________with its principal place of
business at_________________________________________________________(“Customer”).
WHEREAS Customer desires to engage Company for the installation of bunks on its box trucks (the “Services”); and
WHEREAS Company is willing to provide the Services in accordance with the terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
Installation Process: The Company shall undertake the necessary steps to install bunks on the box trucks, if the
Customer has a vehicle that is equipped with a double-seater passenger seat, we will remove it to comply with legal requirements. For vehicles with a single passenger seat, it will be temporarily removed and reinstalled once the installation is completed. The rear cab glass will be removed. We will then proceed by cutting a large opening on both the Cab and the cargo box. This modification
will enable direct access from the Cab to the Cargo box without requiring the vehicle operator to exit the vehicle. To seal the gap between the cab and the cargo box, we will install high-quality watertight rubber sealing. The Company shall install the sleeper, incorporating a wall to create a separate sleeping area within the cargo space. The cargo will not be accessible from the Cab,
only the sleeper will be accessible from the Cab. If the sleeper you ordered is a single person sleeper, it will take approximately
22” to 26” of your cargo space depending on your request and your preference, you will be given a chance to confirm prior installation.
Sleeper and installation Warranty: The Company offers a warranty for 1 year starting on the installation date, warranty does not cover wear and tear, abuse, misuse, dirt. A claim must be filed in writing, once approved, an appointment will be scheduled to make the appropriate repairs. If the damage is outside the Warranty for whatever reason, the Company will make the necessary repairs for a charge.
Window: A window will be installed by cutting an opening on the passenger side of the Cargo Box and installing a watertight
vertical sliding window.
Bunk Seat Belt: The Company shall provide The Customer with a link to purchase a seatbelt for the bunk area. However, due to potential liability concerns, Company shall not install a seatbelt. The Customer agrees to be solely responsible for the proper installation of the seatbelt. Furthermore, the Customer takes full responsibility and holds the Company harmless over any
liabilities arising due to not having a seat belt installed on the bunk. Note: Seat belt is not necessary for a Solo driver
Permission to install: The Customer guarantees full ownership of the vehicle and is fully authorized to authorize the Company to perform the installation as listed in this contract agreement. Furthermore, the Customer shall hold harmless the Company of any liabilities, claims that could arise.
Compliance with FMCSA and USDOT Laws:
Our Sleeper meets all the current requirements set forth by the Federal Motor Carrier Safety Administration (FMCSA). However, If the
Customer requests a sleeper that takes less than 24” of space for the purpose of taking less cargo space, then, the sleeper may or may not meet all requirements set forth by the FMCSA. The customer shall not hold the Company liable, and the Company shall not assume any liability or responsibility whatsoever.
Potential Damage to Sleeper:
The Customer acknowledges and agrees that in the event of any damage occurs due (but not limited) to the following, the operation of forklifts, movement of loose freight and equipment or accidents can potentially cause damage to the sleeper or the truck, the Company shall not be held responsible or liable for any damage arising from the aforementioned activities and any warranty will be
voided. The Customer acknowledges that forceful backing up against the dock or any loosening of U bolts may potentially result in the shifting of the cargo box, leading to water leaks in the accordion rubber section. The Customer acknowledges and agrees that any damage caused as a result of harsh docking, or the aforementioned loosening of U bolts shall void the warranty provided by Company.
Indemnification and Hold Harmless: The
Customer shall indemnify, defend, and hold harmless Company, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with the installation, use, or operation of the sleeper, except to the extent such claims arise from Company’s
gross negligence or willful misconduct.
Cargo Box leak: The company is not responsible for any leaks outside of where the cut is made. If the box has leaks anywhere
else including corner caps, roof etc. The Customer agrees to not hold the Company liable.
Power inverter: Per Customer request and additional charge, we will install a power inverter, it will be connected
directly to the battery’s terminals, by signing this agreement, you agree to not hold us liable for any damage due to or related to batteries, you acknowledge that you will need to train your driver on the proper use of the inverter to prevent battery damage.
Down-Time: If a warranty claim is approved, the coverage only covers the sleeper’s damaged component. The Company will not be liable for downtime, nor will it be liable for any possible Freight damage.
Appointment cancelations & Rescheduling: We need 3 days’ notice to Reschedule your appointment, otherwise a $450 rescheduling fee maybe charged
Order Refunds & Cancellations: Cancellations are fully refundable if the sleeper that you ordered is a basic sleeper with no additional modifications requested. If modifications have been requested to customize the Sleeper in any way, then
cancellations are only 50% refundable
Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the
subject matter hereof and supersedes all prior agreements, understandings, and representations, whether oral or written.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of North
Carolina. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of North Carolina, Wake County.
Severability Clause: if any part of the agreement is deemed invalid or unenforceable by a court or legal authority, the remaining provisions of the agreement will remain valid and enforceable.
